Welcome to Vertex Marketing.
By accessing or using our website and services, you agree to be bound by the following Terms & Conditions. Please read them carefully before proceeding.

1. Services Overview

Vertex Marketing provides digital services including but not limited to:

  • Brand Identity & Graphic Design

  • Website Design & Development

  • Digital Solutions & Automation

  • SEO & Google Ads Management

  • Consulting and Strategy Services

All services are delivered based on the selected package, scope of work, and agreed timeline.

2. Service Commitment & Minimum Term

All recurring services are subject to a minimum commitment period of three (3) months starting from the service activation date.

This minimum term allows sufficient time to:

  • Implement strategies

  • Collect performance data

  • Optimize systems and campaigns

  • Deliver measurable results

Early termination before completing the minimum term is not permitted.

3. Cancellation Policy

Clients may request cancellation only after completing the initial 3-month commitment, subject to the following conditions:

  • A written cancellation request must be submitted at least 15 days prior to the next billing cycle.

  • Cancellation requests received less than 15 days before renewal will apply to the following billing period.

  • All outstanding invoices must be fully paid before service termination.

Once canceled, access to all managed systems, dashboards, automations, and assets will be revoked unless otherwise agreed in writing.

4. Payments & Billing

  • All payments are due in advance unless stated otherwise.

  • Fees are non-refundable once a billing cycle has started.

  • Failure to complete payment may result in service suspension or termination without notice.

Vertex Marketing reserves the right to adjust pricing with prior notice for ongoing services.

5. Client Responsibilities

To ensure successful delivery, clients agree to:

  • Provide accurate and complete information

  • Respond to requests in a timely manner

  • Grant necessary access to platforms, tools, and accounts

  • Approve deliverables within reasonable timeframes

Delays caused by the client may affect timelines and outcomes.

6. Intellectual Property

  • All custom designs, websites, and digital assets become the client’s property only after full payment.

  • Vertex Marketing reserves the right to showcase completed work in portfolios, case studies, and marketing materials unless explicitly restricted in writing.

Third-party tools, platforms, and software remain the property of their respective owners.

7. Use of Third-Party Services

Vertex Marketing may utilize third-party platforms such as hosting providers, automation tools, analytics services, advertising platforms, or AI-based systems.

We are not responsible for:

  • Downtime or changes in third-party services

  • Policy updates or pricing changes imposed by those platforms

  • Account suspensions caused by violations of third-party terms

8. SEO & Advertising Disclaimer

While we apply industry best practices, Vertex Marketing does not guarantee specific rankings, traffic volume, leads, or sales results.

Search engines and advertising platforms operate using independent algorithms and policies that are outside our control.

9. Limitation of Liability

Vertex Marketing shall not be held liable for:

  • Indirect or consequential damages

  • Loss of revenue, data, or business opportunities

  • Decisions made based on provided insights or reports

Our total liability shall not exceed the amount paid by the client for the services rendered during the current billing period.

10. Termination for Cause

We reserve the right to suspend or terminate services immediately if:

  • There is abusive, illegal, or unethical behavior

  • Payments are overdue

  • The service is used for unlawful purposes

  • There is a breach of these Terms & Conditions

11. Governing Law

These Terms & Conditions shall be governed and interpreted in accordance with the laws of Canada, without regard to conflict of law principles.

12. Changes to Terms

Vertex Marketing reserves the right to update or modify these Terms & Conditions at any time. Continued use of our services constitutes acceptance of the revised terms.
